Terms of Service

These Terms of Service (“Terms”) govern access to and use of the PassFlow platform, a brand and service operated by OpenArt do Brasil Ltda (“PassFlow”, “we”), reachable at contact@passflow.lat.
By creating an account, subscribing to a plan or using any part of the platform, you (“Customer”) confirm that you have read, understood and fully accepted these Terms. If you do not agree, do not use the platform.
Services are offered exclusively within Brazilian territory and are intended for companies and professionals acting in an economic activity.
1. Service description
PassFlow provides a cloud platform (SaaS) to create, issue, distribute, update and manage digital passes compatible with third-party digital wallets, including Apple Wallet and Google Wallet, plus dashboards and API integrations.
The platform is a technical tool. PassFlow is not responsible for the commercial content, promotions, tickets, benefits, credentials or obligations represented by passes issued by the Customer.
Features, limits and functionality vary by plan and may be changed, improved or discontinued with reasonable notice.
2. Account and credentials
The Customer must provide true, complete and current information and keep it accurate.
Access credentials, API keys and certificates are personal and non-transferable. The Customer is responsible for all activity performed under its account, including by third parties it granted access to.
The Customer must immediately notify PassFlow of any unauthorized use or suspected compromise.
3. Responsibility for pass content
The Customer is solely responsible for texts, images, logos, trademarks, barcodes, personal data and any other content it uploads or processes on the platform.
The Customer represents and warrants that it holds all rights, licenses and authorizations required for such content, including intellectual property rights and lawful bases for processing personal data.
The Customer shall indemnify and hold PassFlow harmless from any claims, losses, fines, costs and legal fees arising from its content or use of the platform.
4. Acceptable use
The Customer must not, directly or indirectly:
issue fraudulent, counterfeit or misleading passes, or impersonate third parties, brands or institutions without authorization;
use the platform for phishing, scams, money laundering, unsolicited messaging or any unlawful purpose;
upload offensive, discriminatory, violent or sexually explicit content, or content infringing third-party rights;
attempt to access restricted areas, reverse engineer, bypass technical limits, overload infrastructure or resell the service without written authorization;
breach the guidelines, policies or terms of Apple Inc., Google LLC or any other wallet provider.
PassFlow may suspend or terminate accounts, remove content and revoke passes that violate this clause, with or without prior notice where legal, security or reputational risk exists.
5. Third-party services: Apple and Google
Issuance and display of passes depend on services, certificates, developer accounts and guidelines maintained by Apple Inc., Google LLC and other providers, over which PassFlow has no control.
PassFlow is not affiliated with, sponsored, endorsed or certified by Apple Inc. or Google LLC. Apple, Apple Wallet and iPhone are trademarks of Apple Inc.; Google and Google Wallet are trademarks of Google LLC.
Changes, outages, suspensions or revocations imposed by those providers may affect pass behavior without constituting a breach by PassFlow.
6. Plans, pricing and payment
Fees, billing cycles and usage limits are those stated at subscription time or in the accepted commercial proposal.
Late payment incurs 1% monthly interest, IPCA inflation adjustment and a 2% penalty, and allows suspension of access after notice.
Prices may be adjusted annually by IPCA variation or its replacement index, and otherwise changed with at least 30 days' notice.
Cancellation may be requested at any time and takes effect at the end of the current cycle; amounts already paid for the current period are non-refundable except where required by law.
7. Intellectual property
The platform, its code, design, trademarks and documentation are the exclusive property of PassFlow / OpenArt do Brasil Ltda and protected by applicable law.
These Terms grant only a limited, revocable, non-exclusive and non-transferable license to use the platform during the term.
Customer content remains owned by the Customer, who grants PassFlow the license strictly necessary to host, process and display it while providing the service.
8. Availability and support
PassFlow uses commercially reasonable efforts to keep the platform available but does not guarantee uninterrupted or error-free operation, nor immunity from third-party failures, connectivity issues, force majeure or attacks.
Scheduled maintenance windows and emergency interruptions required for security and integrity may occur.
9. Disclaimers and limitation of liability
The platform is provided “as is” and “as available”, without warranties of fitness for a particular purpose, commercial outcome or future compatibility with third-party services.
To the maximum extent permitted by Brazilian law, PassFlow is not liable for lost profits, lost revenue, data loss, indirect, special or incidental damages, or claims brought by the Customer's end users.
PassFlow's total aggregate liability, on any cause, is limited to the amounts actually paid by the Customer in the 12 (twelve) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be limited under mandatory law.
10. Data protection
Personal data processing follows Brazilian Law No. 13,709/2018 (LGPD) and is described in the Privacy Policy, which forms part of these Terms.
For end-user data uploaded by the Customer, the Customer acts as controller and PassFlow as processor, following the Customer's lawful instructions.
11. Term, suspension and termination
The agreement remains in force while a plan is active. Either party may terminate with written notice, subject to amounts due.
Upon termination, PassFlow may deactivate passes and delete Customer data after the retention period stated in the Privacy Policy, subject to legal retention duties.
12. Changes to these Terms
These Terms may be amended at any time. Material changes will be announced by e-mail or in the platform with reasonable notice, and continued use implies acceptance.
13. Governing law and venue
These Terms are governed by the laws of the Federative Republic of Brazil.
The courts of the district of OpenArt do Brasil Ltda's registered office are elected to settle disputes, waiving any other.
